EzzeEat Terms of Service

1. Contractual Relationship

These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User") and EzzeEat. By accessing the EzzeEat website or mobile application (the "Platform"), you agree to be bound by these Terms and our Privacy Policy.

This agreement is governed by the Electronic Transactions Act of Saint Lucia. If you do not agree to these Terms, you must cease using the Platform immediately.

2. The EzzeEat Marketplace Model

EzzeEat provides a digital marketplace that connects consumers with third-party vendors ("Merchants") and independent delivery providers ("Drivers").

Intermediary Status: EzzeEat does not prepare food or provide transportation services. We are an intermediary platform.

Independent Contractors: Drivers are not employees of EzzeEat. Merchants are independent businesses responsible for food quality and safety standards.

3. User Accounts and Eligibility

Age Requirement: You must be at least 18 years of age to create an account and use the services in Saint Lucia.

Account Accuracy: You agree to provide accurate delivery addresses and contact information. Failure to do so may result in the loss of your order without a refund.

4. Ordering and Pricing

Prices: All prices are set by the Merchants. Prices are typically displayed in Eastern Caribbean Dollars (XCD).

Taxes & Fees: Total costs include the item price, applicable Saint Lucian taxes (VAT), delivery fees, and service fees.

Promotions: Any discount codes or promotions are subject to specific expiry dates and cannot be exchanged for cash.

5. Payment and Billing

Payments are processed via secure third-party encrypted gateways. By placing an order, you authorize EzzeEat to charge your payment method.

Stored Cards: EzzeEat does not store full credit/debit card numbers on its primary servers to ensure PCI compliance.

6. Cancellations, Refunds, and Perishable Goods

In accordance with Section 76 of the Saint Lucia Consumer Protection Act, the right of withdrawal/cancellation does not apply to the supply of goods that are liable to deteriorate or expire rapidly (perishable food).

No Cancellation: Once an order is "Accepted" by a Merchant, it cannot be cancelled or refunded.

Order Errors: If an order is missing items or is incorrect, you must notify EzzeEat support via the app within 15 minutes of the recorded delivery time.

7. Delivery and "Transfer of Risk"

Wait Time: Drivers will attempt to contact you upon arrival and will wait for a maximum of five (5) minutes. If you do not collect the order within this window, the Driver is authorized to leave, and the order will be charged in full.

Risk Transfer: Once the order is handed to you or left at your designated "contactless" drop-off point, all risk of loss or damage (including food safety) transfers to the consumer.

8. User Conduct and Restrictions

You agree not to:

Use the platform for any fraudulent activity.

Harass, threaten, or abuse Drivers or Merchant staff.

Reverse-engineer the EzzeEat application or website.

9. Intellectual Property

The Platform, including its code, design, logos, and the "EzzeEat" brand, is the exclusive property of its founders, Chaline Fulgence and Stanislav Poymenov. Unauthorized use of this intellectual property is strictly prohibited.

10. Limitation of Liability

To the maximum extent permitted by Saint Lucian law, EzzeEat is not liable for:

The quality, safety, or legality of the food provided by Merchants.

Delays caused by traffic, weather, or "Acts of God."

Any indirect or consequential loss arising from the use of the Platform.

11. Indemnification

You agree to indemnify and hold EzzeEat and its officers harmless from any claims, losses, or expenses (including legal fees) arising from your breach of these Terms or your violation of any Saint Lucian law.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Saint Lucia. Any dispute arising from these Terms that cannot be resolved through mediation shall be settled exclusively in the courts of Saint Lucia.
